Terms of Service

These Terms of Service ("Terms") govern your use of BidWriter, a software-as-a-service platform operated by eSourcing Data Ltd, a company registered in England and Wales ("we", "us", "our"). BidWriter is accessible at bid.winacontract.com and through related services.

These Terms apply to all users, including free plan users, paid subscribers, trial users, and demo account users. By accepting these Terms, you confirm that you are authorised to enter into a binding agreement on behalf of yourself and, where applicable, your organisation.

We may update these Terms at any time. We will notify you of material changes by email or by displaying a notice within the platform. Continued use of BidWriter after changes take effect constitutes acceptance of the updated Terms.

To use BidWriter you must create an account. You agree to provide accurate, complete, and current information and to keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

Demo accounts are provided for evaluation purposes only. Demo accounts are time-limited and may be terminated at any time without notice. All Terms apply equally to demo account users.

We reserve the right to refuse registration, suspend, or terminate any account at our sole discretion, with or without notice, for any reason including breach of these Terms.

We offer a 14-day free trial on paid plans. No credit card is required to start a free trial unless otherwise stated. At the end of the trial period, your account will revert to the Free plan unless you choose to subscribe to a paid plan.

We reserve the right to modify, suspend, or discontinue the free trial offer at any time without notice. We may limit free trials to one per organisation.

BidWriter is offered on a subscription basis. Current plan details, pricing, and included features are displayed at bid.winacontract.com/home. We reserve the right to change plan names, pricing, features, credit allowances, seat limits, and any other aspect of our plans at any time and without prior notice.

Price changes will take effect at the start of your next billing cycle. Continued use of BidWriter after a price change constitutes acceptance of the new pricing.

Payments are processed by Stripe. By subscribing, you authorise us to charge your payment method on a recurring basis according to your chosen billing period (monthly or annual). All prices are in GBP and exclusive of VAT where applicable.

Subscriptions automatically renew unless cancelled before the renewal date. Refunds are provided at our discretion. We are not obligated to provide refunds for unused periods of a subscription.

We may suspend or terminate access to paid features if payment fails or is disputed.

Certain features of BidWriter consume AI credits. Credit allowances are determined by your subscription plan. Monthly credits reset on your billing date and do not roll over. Top-up credits purchased separately do not expire.

We reserve the right to adjust credit costs per action, credit allowances per plan, and the availability of AI-powered features at any time. We do not guarantee the accuracy, quality, or fitness for purpose of AI-generated content.

You are solely responsible for reviewing, editing, and verifying any AI-generated content before use in bids, tenders, or any other submission.

You agree to use BidWriter only for lawful purposes and in accordance with these Terms. You must not:

• Use BidWriter to submit fraudulent, misleading, or unlawful bid content
• Attempt to reverse engineer, decompile, or extract the source code of BidWriter
• Use automated tools to scrape, extract, or systematically access content from BidWriter
• Share your account credentials with unauthorised parties
• Use BidWriter in any way that could damage, disable, overburden, or impair our systems
• Upload content that is unlawful, offensive, or infringes third-party intellectual property rights
• Resell, sublicence, or otherwise commercialise access to BidWriter without our written consent

You retain ownership of all content you upload to BidWriter, including bid library entries, tender documents, company profile information, and responses. By uploading content, you grant us a limited licence to process and store that content solely for the purpose of providing the service to you.

We do not sell your content or use it to train AI models without your explicit consent. We may use anonymised, aggregated usage data to improve the platform.

You are responsible for ensuring that any content you upload does not infringe third-party rights, violate applicable law, or breach any confidentiality obligations.

eSourcing Data Ltd owns all intellectual property rights in BidWriter, including but not limited to the platform software, design, algorithms, AI models, and documentation. Nothing in these Terms transfers any intellectual property rights to you.

WinAContract and BidWriter are trading names and brands of eSourcing Data Ltd. You may not use our trademarks, logos, or branding without our prior written consent.

We aim to provide BidWriter on a continuous basis but do not guarantee uninterrupted availability. We may carry out maintenance, updates, or improvements that temporarily affect access. We will endeavour to give reasonable notice of planned downtime where possible.

We reserve the right to modify, suspend, or discontinue any part of BidWriter at any time, including features, integrations, AI capabilities, or the service as a whole, with or without notice. We are not liable for any losses arising from such changes.

BidWriter is provided "as is" and "as available" without warranties of any kind, whether express or implied. To the fullest extent permitted by law, we disclaim all warranties including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that BidWriter will meet your requirements, that it will be error-free, or that AI-generated content will be accurate, complete, or suitable for any specific purpose. Bid writing involves professional judgement and you should not rely solely on AI-generated outputs.

To the fullest extent permitted by applicable law, eSourcing Data Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use BidWriter, including but not limited to:

• Loss of profits, revenue, contracts, or business opportunities
• Loss of data or corruption of data
• Failure to win a tender or contract
• Costs of procuring substitute services
• Any claim made by a third party arising from your use of BidWriter

Our total aggregate liability to you in respect of any claims arising under or in connection with these Terms shall not exceed the total subscription fees paid by you in the three months preceding the claim.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

You agree to indemnify and hold harmless eSourcing Data Ltd, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of BidWriter, your violation of these Terms, or your infringement of any third-party rights.

You may cancel your subscription at any time from Settings → Billing. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the end of that period.

We may terminate or suspend your account immediately if you breach these Terms, if required by law, or at our discretion. Upon termination, your right to use BidWriter ceases immediately. We may delete your data in accordance with our Privacy Policy.

These Terms are governed by and construed in accordance with the laws of England and Wales. For users in Scotland and Northern Ireland, mandatory local consumer protections apply in addition to these Terms.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory local law requires otherwise.

Before initiating formal proceedings, we encourage you to contact us at legal@winacontract.com to attempt to resolve any dispute informally.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and eSourcing Data Ltd regarding BidWriter.
